Matthew Browndorf, Managing Partner

Matthew Browndorf is the Managing Partner of WB LAW, LLP and serves as a
legal executive to House of Browndorf, Inc in addition to co-hosting one of its
first television franchises: Real Newport Beach Coffee Talk. WB LAW, LLP
primarily acts as general counsel to House of Browndorf, Inc as its primary
and largest client.
Mr. Browndorf is an experienced investment advisor, commercial litigation
attorney, and corporate transaction attorney applying his skills from practice to
his private equity ventures. Mr. Browndorf has practiced law for over 24 years
(most notably at Bryan Cave LLP and Buchanan Ingersoll PC in
Pennsylvania, New Jersey, New York, and England & Wales as an RFL),
where he represented financial institutions, securities brokers, and private
clients in corporate structure, financial transactions, captive insurance and
reinsurance litigation securities and white-collar criminal litigation, including
the notable People of New York v. Kozlowski and Swartz litigation involving
TYCO.
Mr. Browndorf has also counseled clients on operating broker-dealers, merger
and acquisition consultancy, setting up reinsurance and insurance captives in
the European and American markets, and was involved in setting precedent
law in the area of automobile franchise. Mr. Browndorf has also practiced
extensively in the area of creditor rights and bankruptcy. Mr. Browndorf has
represented Fortune 500 companies, including Valspar Industries, Gerling
Global, and Volkswagen of America. Mr. Browndorf has also represented
financial institutions such as Bank of America, Citigroup, and Bank of New
York and assisted the SDNY US Attorney's office in preventing further
Nigerian email scams.
Formerly, the founder and CEO of Plutos Sama Holdings, Inc. (PSH INC),
Mr. Browndorf started the origins of PSH INC and grew the family of
companies to what they were through December of 2021, when PSH INC
began an involuntary process to formerly dissolve for family estate purposes.
Achieving joint venture relationships with some of the largest global
institutions and leading consortiums in complicated international mergers and
acquisitions involving distressed situations in the Americas, Central and
Eastern Europe, England, and China (see representative matters) it grew
rapidly under his founder-based leadership. Recently, Mr. Browndorf was
honored as a Distinguished Member by Lawyers of Distinction, was
nominated, and chosen to receive the 2017 and 2020 International Advisory
Experts Award, New York Merger & Acquisition Expert Award, and was
nominated four years in a row for the Innovator of the Year Award in 2015 and
2016, 2017 and 2018.

Mr. Browndorf was a semi-finalist of the coveted Ernst & Young Entrepreneur
of the Year in 2018 and, in the same year, a semi-finalist of best places to
work in Orange County, California. PSH INC also won the number one spot
for the fastest growing small private company in Orange County, California, in
2017.
From 2017 to 2019, Mr. Browndorf managed a massive corporate
restructuring of PSH INC and its affiliates resulting from several distressed
purchases and has maintained social responsibility from past deal purchases
while continuing current deal flow and balance sheet in RMBS, Restaurants,
online gaming, and other opportunistic investments at PSH INC through
2020's COVID19 pandemic until its dissolution.
Mr. Browndorf graduated from Widener University School of Law as a scholar
and with honors and authored several law review notes for the Widener
Journal of Public Law. Mr. Browndorf attended undergraduate studies at
Arizona State University, with an emphasis on forensic debate and rhetoric.
Mr. Browndorf has also appeared in the National Law Journal, Legal Week,
Legal IT, the Pennsylvania Law Journal, and other publications and seminars
throughout his practice. Mr. Browndorf is licensed as an attorney in New York,
New Jersey, and Pennsylvania and a Registered Foreign Lawyer in England
and Wales. Mr. Browndorf is also a Registered Investment Advisor.
Mr. Browndorf’s pro bono activities include being a Court Appointed Youth
Advocate in New Jersey representing teenagers in court that are dealing with
foster care matters and he also coached the Lambertville Ramblers youth
football league from 2002-2006 and now the Irvine Chargers Youth Football
League as Head Coach for 6-7u for the 2021 football season.
